Terms of Service

These Terms of Service govern your access to and use of TasqPlace, a software-as-a-service productivity and collaboration platform operated under the registered business name TASQPLACE INFORMATION TECHNOLOGY SERVICE.

1. Acceptance of Terms

By creating a TasqPlace account, joining a TasqPlace workspace, or otherwise accessing or using the service, you agree to these Terms of Service (the "Terms"). If you do not agree to them, you must not use TasqPlace.

If you accept these Terms on behalf of a company, team or other organization, you confirm that you are authorized to bind that organization, and "you" then refers to that organization as well as to you personally.

These Terms should be read together with our Privacy Policy and our Refund & Cancellation Policy, both of which form part of your agreement with us.

2. Who You Are Contracting With

TasqPlace is operated under the registered business name TASQPLACE INFORMATION TECHNOLOGY SERVICE, a sole proprietorship whose business name is registered with the Department of Trade and Industry (DTI) in the Republic of the Philippines. In these Terms, "TasqPlace", "we", "us" and "our" refer to that business.

"TasqPlace" is also the public brand and product name used for the service, the website at tasqplace.com and the application at app.tasqplace.com.

3. Description of TasqPlace

TasqPlace is an online workspace for businesses and teams. Depending on your plan and on the modules enabled for your workspace, it may include:

  • Task and project management, including boards, lists, calendars, checklists and recurring work
  • Team collaboration through comments, mentions, notifications and team chat
  • Time tracking, timesheets and time approval workflows
  • Workspace, department, member and permission management
  • File attachments, shared documents and internal knowledge content
  • Reporting and activity views for managers and workspace owners
  • Optional first-party plugins and modules that a workspace can enable

TasqPlace is delivered over the internet through a web application and through TasqPlace desktop and mobile applications. Features may be added, changed or removed as described in section 22.

4. Eligibility

You must be legally capable of entering into a binding contract in your jurisdiction to use TasqPlace. TasqPlace is a business product intended for organizations and their team members; it is not directed at children (see section 13 of our Privacy Policy). You may not use TasqPlace if you are barred from doing so under applicable law or trade sanctions.

5. Account Registration

You need an account to use TasqPlace. You can register with an email address and password, or sign in using a supported third-party account such as Google or Facebook where that option is enabled. You agree to provide accurate, current and complete information and to keep it up to date. We may ask you to verify your email address before certain features become available.

Accounts are personal to the individual they are created for and must not be shared between multiple people.

6. Account Security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Use a strong, unique password, and take care when granting workspace roles that carry administrative rights. Tell us promptly if you believe your account or workspace has been accessed without authorization. We apply security controls such as password hashing, session protection, request-forgery protection and rate limiting, but we cannot secure an account whose credentials have been shared or reused elsewhere.

7. Workspaces, Owners, Administrators and Members

Work in TasqPlace is organized into workspaces. A workspace is controlled by its owner, together with the administrators the owner appoints.

Workspace owners and administrators

Owners and administrators can invite and remove members, assign roles and permissions, enable or disable modules, change workspace settings, view and export workspace content, review timesheets, and delete workspace data. If a workspace is created by an employer, client or other organization, that organization — not TasqPlace — controls the workspace and the content in it.

Members

Members can access the parts of the workspace their role permits. If you join a workspace that belongs to someone else, you accept that the workspace owner controls that workspace, including content you contribute to it, and that your access can be changed or removed by them.

Disputes between a workspace owner and its members about access to or ownership of workspace content are between those parties. Where we receive conflicting instructions, we will generally act on the instructions of the workspace owner.

8. User Responsibilities

You are responsible for:

  • The content, data and files you and your workspace members put into TasqPlace
  • Having the rights and permissions needed to store that content and to share it with the people you share it with
  • Complying with the laws and regulations that apply to you, including employment, privacy and data protection laws in the places your team works
  • Configuring your workspace appropriately, including roles, permissions, module settings and any time-tracking or screenshot settings your workspace chooses to enable
  • Informing the people in your workspace about how you use TasqPlace to record their work, where the law requires you to do so

9. Acceptable Use

You agree not to use TasqPlace to:

  • Break the law, infringe anyone's rights, or help someone else do so
  • Upload or distribute malware, or content that is unlawful, defamatory, harassing, abusive or obscene
  • Send unsolicited bulk messages or use the service to distribute spam
  • Attempt to gain unauthorized access to TasqPlace, to other customers' workspaces, or to the systems and networks that run the service
  • Probe, scan, overload or disrupt the service, or circumvent plan limits, usage caps, rate limits or access controls
  • Reverse engineer, decompile or copy any part of the service, except to the extent applicable law expressly permits it
  • Resell, sublicense or provide the service to third parties as your own product without our written agreement

We may investigate suspected breaches of this section and take the steps described in sections 23 and 24.

10. User Content, Files, Projects, Tasks and Comments

"User Content" means everything you and your workspace members put into TasqPlace: projects, tasks, checklists, comments, chat messages, uploaded files and attachments, documents, time entries and any other data.

You and your organization keep all rights in your User Content; we claim no ownership of it. You grant us a limited, non-exclusive licence to host, store, copy, transmit, display and process your User Content solely in order to operate, secure and support the service for you, and to carry out the actions you ask for — for example delivering a chat message, generating a report, producing a PDF invoice, or sending an email notification. That licence ends when the content is deleted from our systems, subject to the retention practices described in our Privacy Policy.

Storage and other plan limits apply to uploaded files. You are responsible for keeping your own copies of anything you need to retain, and we recommend exporting important data before cancelling a subscription or deleting a workspace.

11. Team Chat and Communications

TasqPlace includes team chat, comments and mentions. Messages sent in a workspace are stored in that workspace and are visible to the members whose roles and channel access permit it, and to workspace owners and administrators. Do not use TasqPlace chat for content you are not permitted to store in your organization's systems. We may send you service, security and transactional email, and notification email according to the preferences in your account.

12. Time Tracking

Where a workspace uses time tracking, TasqPlace records time entries against tasks and projects, periods recorded as idle, and timesheet submissions and approvals. If a workspace enables screenshot capture, screenshots taken during tracked time are stored and shown to the owners, administrators and managers permitted to review timesheets. Screenshot capture can be disabled for a workspace.

These are workplace monitoring features. The workspace owner decides whether they are switched on and is responsible for using them lawfully, including giving any notice or obtaining any consent required by the employment and privacy laws that apply to their team.

13. Subscription Plans

Free plan

TasqPlace offers a free plan that can be used without providing payment details. Free workspaces are subject to the limits published on our Pricing page, which may include limits on members, projects, tasks, storage and how much time-tracking history is retained.

Paid plans

Paid plans unlock higher limits and additional features. Each plan defines the limits that apply to a workspace; when a workspace reaches a limit, TasqPlace prevents new records of that type from being created until usage is reduced or the plan is changed. The plan assigned to your workspace, its price and its renewal window are shown in the application under Settings → Billing. Where a trial is offered, its terms and end date are shown to you before it begins.

We may change our plans, limits and prices. If we change the price of a plan your workspace is subscribed to, we will give you notice before that change applies to you, and you may cancel before the new price takes effect.

14. Billing

Paid subscriptions are billed in advance for each billing period, in US dollars, at the price shown for your plan at the time you subscribe. Applicable sales tax or VAT may be added at checkout depending on your location. You are responsible for keeping a valid payment method on file for as long as your subscription is active, and for any bank charges or currency conversion fees applied by your bank or card issuer.

15. Automatic Renewal

Where a subscription is sold on a recurring basis, it renews automatically at the end of each billing period, at the then-current price for the plan, until it is cancelled. Renewal terms, including the billing period and renewal date, are disclosed to you before purchase and at checkout. If a renewal payment cannot be collected, the subscription may be suspended and the workspace moved to reduced or free-plan functionality until the amount due is paid.

16. Payments Processed by Paddle

TasqPlace uses Paddle for subscription billing. For subscriptions purchased through Paddle, Paddle acts as an authorized reseller and Merchant of Record for the transaction: it processes the payment, handles sales tax and VAT collection and remittance where applicable, issues your receipt or invoice, and administers refunds and chargebacks for that transaction. A Paddle-processed charge may appear on your card or bank statement under Paddle's name.

Purchases made through Paddle are also subject to Paddle's own buyer terms and privacy notice, which are presented to you at checkout. TasqPlace does not receive or store your full payment card number.

17. Cancellation

You may cancel a paid subscription at any time. Cancelling prevents the subscription from renewing for a further billing period. You normally keep access to your paid plan for the remainder of the billing period you have already paid for, unless a refund changes the service period, applicable law requires otherwise, or the terms disclosed at checkout for your subscription say something different.

TasqPlace does not currently provide a self-service cancellation control inside the application. Cancellation requests are handled by contacting us, as set out in our Refund & Cancellation Policy. Free workspaces can simply be stopped, or deleted on request.

18. Refunds

Refund requests are reviewed on a case-by-case basis, as described in our Refund & Cancellation Policy, which forms part of these Terms. Nothing in these Terms limits any refund, cancellation or other remedy available to you under mandatory consumer protection law, including the Consumer Act of the Philippines where it applies to you.

19. Intellectual Property

TasqPlace — including the software, its user interface, design, documentation, logo and name — is owned by us and our licensors and protected by intellectual property law. Subject to these Terms and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the service for your own internal business purposes while your account is active.

These Terms transfer none of our intellectual property rights to you. Any feedback or suggestions you send us may be used to improve the service without obligation or payment to you.

20. Third-Party Services

TasqPlace relies on third parties to deliver parts of the service, including our hosting provider, our outbound email service, our payment provider Paddle, and — where you choose to use them — third-party sign-in providers such as Google and Facebook. TasqPlace also supports optional plugins and modules that a workspace can enable.

If you enable an integration, plugin or third-party sign-in, you authorize the exchange of the data needed for it to work. Third-party products are governed by their own terms and privacy policies, and we are not responsible for how they operate.

21. Service Availability

We work to keep TasqPlace available and reliable, but the service is provided on an "as available" basis and we do not commit to a specific uptime level or service level agreement unless separately agreed with you in writing. Access may be interrupted by planned or emergency maintenance, upgrades, third-party failures, or events outside our reasonable control. Where practical we will try to give advance notice of maintenance we expect to be disruptive.

22. Service Changes

TasqPlace is actively developed. We may add, change, restrict or discontinue features, modules and plan limits over time. We will not make changes that materially reduce the core functionality of a paid plan during a billing period you have already paid for without offering you a reasonable remedy, such as the ability to cancel.

23. Account Suspension

We may suspend access to an account or workspace, in whole or in part, if:

  • These Terms, including the Acceptable Use section, are materially breached
  • Amounts due for a subscription remain unpaid after a failed payment
  • The use in question puts the security, integrity or availability of the service or other customers at risk
  • We are required to do so by law or by a competent authority

Where circumstances allow, we will contact you first and give you an opportunity to resolve the issue. Suspension for non-payment does not by itself delete your workspace data.

24. Account Termination

You may stop using TasqPlace at any time and ask us to close your account or delete a workspace you own. We may terminate an account or workspace where a suspension under section 23 is not resolved, where required by law, or where we discontinue the service entirely — in which case we will give reasonable notice and, for a paid plan, deal fairly with any period already paid for.

On termination, your right to use the service ends and your data is handled as described in our Privacy Policy. Export anything you need before terminating.

25. Disclaimers

To the maximum extent permitted by law, TasqPlace is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, timely, secure or error-free. You are responsible for deciding whether TasqPlace is suitable for your intended use.

Nothing in this section excludes or limits any warranty, condition or remedy that cannot be excluded or limited under applicable law, including mandatory protections under Philippine consumer protection law and any equivalent protections in your own country.

26. Limitation of Liability

To the maximum extent permitted by law, TasqPlace and its suppliers will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business opportunity or data, arising out of or relating to your use of, or inability to use, the service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service or these Terms will not exceed the amount you actually paid us for the service in the twelve (12) months immediately before the event giving rise to the claim. For a free plan, our total aggregate liability will not exceed the amount permitted by applicable law for a service provided free of charge.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, for death or personal injury caused by negligence, and rights and remedies granted to consumers by mandatory law.

27. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, subject to mandatory rights and protections available to you under applicable law. Disputes arising out of or relating to these Terms may be brought before the competent courts of the Republic of the Philippines, except where mandatory law entitles you to bring proceedings in the courts of your own country of residence, or to use a dispute resolution mechanism available to you there.

Nothing in these Terms waives any non-waivable consumer right, privacy right, statutory remedy or other mandatory protection available to you.

28. Changes to These Terms

We may update these Terms as the service, our business or the law changes. When we do, we will update the "Last updated" date at the top of this page and, where the changes are material, give notice by email or inside the application before they take effect. Continuing to use TasqPlace after an update takes effect means you accept the updated Terms; if you do not accept them, stop using the service and cancel any paid subscription.
